Terms of Use

These Terms of Use ("Terms") govern your access to and use of the STG-3 member platform at portal.stg-3.com, operated by Ziv Keinan Ltd. ("STG-3," "we," "us"). By signing in or using any part of the platform, you agree to these Terms. If you do not agree, do not use the platform.

STG-3 is an invite-only community. Membership is granted at STG-3's sole discretion following an application and review process. STG-3 may decline or revoke membership for any reason, including but not limited to a poor fit with the community, misrepresentation in an application, or a breach of these Terms.

Your membership gives you access to:

• The member directory, searchable and filterable by industry and other attributes.
• Thumper, an AI concierge that can answer questions about the community, suggest connections, provide general market commentary, and — where offered — advisory conversations related to tokenization, go-to-market, and due diligence.
• The ability to request warm introductions to other members, brokered by the STG-3 team.
• A jobs board (postings are curated by the STG-3 admin team).
• Community emails, including a periodic digest of relevant people, news, and updates.
• Where applicable, access to STG-3 events.

STG-3 may add, change, or remove features at any time.

You're responsible for the accuracy of the information in your profile and for keeping your login method (email, Google, or LinkedIn account) secure. You may not share your account or impersonate another person or entity.

You agree not to:

• Scrape, bulk-export, or systematically copy the directory or any member's data outside the platform.
• Use the directory or intro-request feature to send unsolicited sales pitches, spam, or mass outreach.
• Misrepresent your identity, title, firm, or purpose for joining.
• Use the platform to compete with STG-3 or to build a competing directory or community.
• Harass, discriminate against, or behave unprofessionally toward other members.
• Attempt to circumvent access controls, rate limits, or security measures.
• Use Thumper to generate content for illegal, deceptive, or harmful purposes.

Violation of this section may result in suspension or termination of your membership.

When you request an introduction to another member, STG-3 facilitates the request but does not guarantee the other member will respond or agree to connect. STG-3 is not a party to, and takes no responsibility for, any business relationship, transaction, or outcome that results from an introduction made through the platform.

Thumper is an AI assistant. Its responses — including market commentary, matching suggestions, and advisory conversations — are generated automatically and may be incomplete, out of date, or incorrect. Nothing Thumper says constitutes financial, investment, legal, tax, or regulatory advice, and you should not rely on it as a substitute for professional advice. STG-3 is not liable for decisions made based on Thumper's output.

Membership is currently offered without a recurring fee. STG-3 may introduce paid membership tiers, sponsorship packages, event fees, or paid services (such as expert consultations) in the future. Where a fee applies, its terms will be presented to you separately before you're charged.

You retain ownership of the content you submit (profile information, bio, chat messages to Thumper). By submitting it, you grant STG-3 a license to use, store, display, and process that content as needed to operate the platform — for example, showing your profile to other members or using facts from your conversations with Thumper to improve matching (never shared outside the platform as attributed private conversation content to a third party without your involvement).

The STG-3 platform, its design, and its underlying software are the property of STG-3 or its licensors. You may not copy, modify, or create derivative works from the platform itself.

You may stop using the platform at any time. STG-3 may suspend or terminate your membership at any time, with or without notice, for breach of these Terms or at STG-3's discretion. Sections that by their nature should survive termination (e.g. acceptable use disputes, liability limitations) will survive.

The platform is provided "as is" without warranties of any kind. STG-3 does not guarantee the accuracy of member-submitted profile information, the outcome of any introduction, or the availability of the platform at all times. To the maximum extent permitted by law, STG-3's liability for any claim relating to your use of the platform is limited to the amount (if any) you paid STG-3 in the 12 months before the claim arose.

These Terms are governed by the laws of England, and any dispute arising from them will be subject to the exclusive jurisdiction of the courts of England.

We may update these Terms from time to time. Material changes will be communicated by email or an in-platform notice. Continued use of the platform after a change takes effect constitutes acceptance of the updated Terms.
